Terms of Service — Installers

These Terms of Service ("Terms") form a binding agreement between the business entity or sole trader listed on the PoweredNZ platform ("you," "your," or "Installer") and PoweredNZ Limited ("PoweredNZ," "we," "us," or "our"). PoweredNZ operates an online directory at powerednz.com (the "Platform") that connects New Zealand homeowners ("Homeowners") with energy-upgrade service providers.


1. Acceptance of Terms

1.1 Agreement to be bound

By creating an account, claiming a listing, or subscribing to a paid plan on the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1.2 Electronic acceptance

When you first access the installer dashboard, you will be asked to read and accept the current version of these Terms. Your acceptance is recorded electronically (timestamp and version number) and constitutes a binding agreement under the Contract and Commercial Law Act 2017 (NZ). You will be unable to access dashboard features until acceptance is complete.

1.3 Updates to these Terms

We may update these Terms from time to time. When the version number changes, you will be prompted to review and re-accept the updated Terms before continuing to use the Platform. Continued use of the Platform after re-acceptance constitutes agreement to the revised Terms.

1.4 Related policies

These Terms should be read together with our Privacy Policy, Cookie Policy, and Review Policy, each of which is incorporated by reference. In the event of a conflict, these Terms take precedence.

1.5 Authority and capacity

By accepting these Terms, you represent and warrant that you are at least 18 years of age, that you are authorised to bind the business entity on whose behalf you are registering, and that your business is lawfully operating in New Zealand.

1.6 Definitions

Throughout these Terms, the following definitions apply:

  • Platform — the PoweredNZ website, application programming interfaces, and related services operated at powerednz.com.
  • Installer — a business entity or sole trader that creates a listing on the Platform to offer home energy-upgrade services.
  • Homeowner — an individual who uses the Platform to find installers and request quotes.
  • Listing — an Installer's business profile on the Platform, including business name, description, service categories, service areas, images, credentials, and reviews.
  • Lead — a quote request submitted by a Homeowner that is matched to one or more Installers based on category, region, and tier priority.
  • Credential — a licence, registration, or qualification document uploaded by an Installer to verify their professional standing.
  • Subscription — a recurring monthly payment arrangement for access to a paid listing tier (Pro or Featured), including access to all matching Leads.

2. Listing Tiers

2.1 Tier structure

The Platform offers three listing tiers: Free, Pro, and Featured. Each tier provides a different level of visibility, functionality, and lead allocation as summarised below.

2.2 Free tier

The Free tier is available at no cost. It provides basic directory visibility. Free tier Installers do not receive Leads. No subscription or payment details are required to maintain a Free listing.

2.3 Founding member pricing

The first 25 Installers to subscribe to any paid tier (Pro or Featured) are eligible for founding member pricing. Founding members lock in a discounted subscription rate for as long as their subscription remains active and uninterrupted. If a founding member cancels their subscription and later re-subscribes, they will lose their founding rate and pay the standard rate unless founding member places are still available at that time.

Founding member and standard rates are published on the Platform's pricing page and may be updated from time to time in accordance with Section 4.9.

2.4 Changes to tier features

We reserve the right to modify the features and pricing associated with each tier upon reasonable notice to affected Installers. Any change to your subscription price will be communicated in accordance with Section 4.9.

2.5 Listing content standards

All listing content — including your business name, description, service categories, service areas, and images — must be accurate, current, and not misleading. Listing content must comply with the Fair Trading Act 1986 (NZ). We reserve the right to adjust your tier placement, remove content, or de-list your business if your listing contains content that violates these standards or our content guidelines.


3. Data and Lead Handling

3.1 Homeowner personal information

Leads contain the personal information of Homeowners, including their name, email address, phone number, and project details. When you receive a Lead, you become a recipient of that personal information under the Privacy Act 2020 (NZ). You must handle Lead data in accordance with the Privacy Act 2020 and the obligations set out in this section.

3.2 Permitted use of Lead data

You may use Lead data only for the purpose of responding to the Homeowner's quote request and providing the requested service. You must not:

  • add a Homeowner to any marketing or mailing list without obtaining their separate, informed consent;
  • share, sell, rent, or otherwise disclose Lead data to any third party;
  • use Lead data for any purpose unrelated to the specific quote request; or
  • contact a Homeowner after they have withdrawn their consent or asked you to stop.

3.3 Data retention

We retain Lead data for 365 days from the date the Lead is created. After that period, Lead data is eligible for deletion from our systems. You must also delete or destroy any copies of Lead data you have exported, downloaded, or stored locally within the same 365-day timeframe.

3.4 Homeowner consent and withdrawal

Homeowners provide explicit consent before their data is shared with Installers. The exact wording of the consent shown to each Homeowner is recorded and timestamped. A Homeowner may withdraw consent at any time by contacting support@powerednz.com or using the self-service data portal at powerednz.com/my-data. Upon notification that a Homeowner has withdrawn consent, you must immediately cease using their data and delete any copies in your possession.

3.5 Lead disputes

If you believe a Lead is fraudulent, a duplicate, or delivered in error, you may raise a dispute by contacting support@powerednz.com within 14 days of delivery.

3.6 Confidentiality and security

You must treat Lead information as confidential. You must implement reasonable security measures — including secure storage, access controls, and encryption where practicable — for any Homeowner data you store outside the Platform.

3.7 Data breach notification

If you become aware of any unauthorised access to, disclosure of, or loss of Homeowner data received through the Platform, you must notify us at support@powerednz.com as soon as practicable after becoming aware of the breach.


4. Subscription and Billing

4.1 Payment processor

All payment processing is handled by Stripe, a PCI-DSS compliant third-party payment processor. PoweredNZ does not store your credit card or bank account details. Your use of Stripe is subject to Stripe's own terms of service and privacy policy.

4.2 Recurring billing

Paid subscriptions (Pro and Featured) are billed monthly on a recurring basis. Your subscription will automatically renew each billing cycle until you cancel.

4.3 Cancellation

You may cancel your subscription at any time through the installer dashboard or by contacting us. Upon cancellation, you will retain access to your paid tier features until the end of your current billing period. At the end of that billing period, your Stripe subscription will not renew and your listing tier will revert to Free. You will no longer receive new Leads after your listing reverts to Free.

4.4 No refunds

Subscription fees are non-refundable. Because you retain access to paid features until the end of your current billing period after cancellation (see Section 4.3), no refund is issued when you cancel. No refund is issued where termination is for a breach of these Terms (see Section 8.6).

4.5 Payment failure

If a payment fails, your account will be placed in a past-due status and you will receive an email notification with instructions to update your payment method. If payment remains outstanding, your account may be downgraded to the Free tier. We are not responsible for any loss of leads, visibility, or functionality during a period of payment failure.

4.6 Proration on tier changes

If you upgrade from one paid tier to another mid-billing cycle, you will be charged a prorated amount for the remainder of the current billing period at the higher tier's rate. Stripe calculates and applies proration automatically.

4.7 Founding member pricing

If you qualify for founding member pricing under Section 2.3, your discounted rate is locked in for the duration of your subscription. If you cancel and re-subscribe, you will be charged the standard rate unless founding member places are still available. Founding member rates are exempt from price increases for the duration of the original, uninterrupted subscription.

4.8 Lead credits

If the Platform offers optional lead credit purchases, credits are non-refundable and expire 12 months from the date of purchase unless otherwise stated. Unused credits are not transferable between accounts.

4.9 Price changes

We reserve the right to change subscription prices with at least 30 days' written notice to affected Installers. Price changes do not apply to founding member rates for the duration of the original subscription, as described in Section 4.7.

4.10 Taxes

All prices are displayed in New Zealand dollars (NZD). Prices are inclusive of GST where applicable, as required by the Goods and Services Tax Act 1985 (NZ). Tax invoices are issued through Stripe.


5. Credential Verification

5.1 Installer responsibility

You are solely responsible for the accuracy and validity of any credentials you upload to the Platform. This includes (but is not limited to) licences, registrations, and certificates issued by bodies such as the Energy Efficiency and Conservation Authority (EECA), the Electrical Workers Registration Board, the Plumbers Gasfitters and Drainlayers Board, and the Ministry of Business, Innovation and Employment (MBIE).

5.2 Verification process

The Platform supports the following credential types: Warmer Kiwi Homes Service Provider, Master Electrician, EWRB Mains Parallel Generation Endorsement, Registered Electrician, Licensed Building Practitioner, and Other. When you upload a credential, it enters a pending state and is reviewed by our team. A credential may be verified (approved), rejected (with a reason provided), or marked as expired when it passes its expiry date.

5.3 What verification means

A "Verified" badge on your listing indicates that we have reviewed the supporting document you provided. It does not constitute a warranty, guarantee, or endorsement of your qualifications, competence, or the quality of your work. PoweredNZ is a directory service, not a regulatory body. Verification does not substitute for a Homeowner's own due diligence when selecting an installer.

5.4 Expiry and renewal

Credentials that pass their expiry date are automatically marked as expired. You will receive a reminder 14 days before a credential expires. It is your responsibility to upload renewed documentation before or promptly after expiry.

5.5 Requests for updated documentation

We may request updated proof documents at any time. If you fail to provide updated documentation within a reasonable timeframe (generally 14 days from our request), the credential may be revoked and removed from your listing.

5.6 Fraudulent credentials

Submitting false, forged, expired-but-presented-as-current, or otherwise fraudulent credentials is a serious breach of these Terms and grounds for immediate listing suspension or permanent removal. We may also refer suspected fraud to the relevant New Zealand regulatory body, including but not limited to the Electrical Workers Registration Board, the Plumbers Gasfitters and Drainlayers Board, or MBIE.


6. Reviews and Responses

6.1 Nature of reviews

Reviews are posted by Homeowners and reflect their personal experience. PoweredNZ does not endorse or verify the factual accuracy of review content.

6.2 Moderation

All reviews are held in a moderation queue for up to 24 hours before going live. During this period, reviews may be flagged by automated checks or manual review. We reserve the right to remove reviews that violate our Review Policy at any time, including after publication.

6.3 Installer responses

Installers on the Pro or Featured tier may respond to reviews. Responses must be professional and courteous. You must not disclose a Homeowner's personal information, make threats, engage in intimidation, or include abusive language in a response. We reserve the right to remove responses that breach these standards.

6.4 Complaints about reviews

If you believe a review is defamatory, fraudulent, or otherwise violates our Review Policy, you may file a complaint through the installer dashboard. We will investigate the complaint and may remove or retain the review at our sole discretion. Filing a complaint does not guarantee removal.

6.5 Prohibited conduct

You must not solicit, incentivise, fabricate, or otherwise artificially inflate reviews or ratings. This includes (but is not limited to) offering discounts or rewards in exchange for positive reviews, creating fake accounts to post reviews, or participating in review exchange arrangements. Violation is grounds for listing suspension.

6.6 Licence to display

Reviews and responses become part of the public listing. By posting a response, you grant PoweredNZ a non-exclusive, royalty-free, perpetual, worldwide licence to display, reproduce, and distribute the response in connection with the Platform.

6.7 Review Policy

These Terms establish the contractual framework for reviews. The Review Policy provides detailed content guidelines and moderation standards. Both documents should be read together.


7. Code of Conduct

7.1 Professional standards

You must conduct yourself professionally in all interactions with Homeowners initiated through the Platform. This includes timely responses to leads (we recommend responding within 48 hours), honest and transparent quoting, and courteous communication.

7.2 Prohibited behaviour

The following conduct is prohibited and may result in listing suspension or termination:

  • misrepresenting your qualifications, experience, or business details;
  • harassment, abuse, threats, or intimidation directed at Homeowners, other Installers, or PoweredNZ staff;
  • unsolicited marketing, spam, or any use of Lead data beyond the permitted purpose described in Section 3.2;
  • gaming the review system, including fake reviews, paid reviews, or review exchange schemes;
  • scraping, crawling, or automated extraction of Platform data without our written consent;
  • using the Platform to facilitate work for which you do not hold the required licence or registration under New Zealand law; or
  • any other conduct that, in our reasonable opinion, brings the Platform into disrepute or harms the interests of Homeowners.

7.3 Compliance with New Zealand law

You must hold all licences and registrations required by law for the services you advertise on the Platform. This includes (without limitation) requirements under the Electricity Act 1992, the Plumbers, Gasfitters, and Drainlayers Act 2006, and the Building Act 2004. It is your responsibility to ensure that you and your staff are appropriately qualified for the work you undertake.

7.4 Accurate listing content

Your business description, service areas, and category selections must truthfully reflect your actual capabilities and geographic coverage. Misleading content may constitute a breach of the Fair Trading Act 1986 (NZ), in addition to a breach of these Terms.

7.5 Reporting obligations

You must report any security incidents or data breaches involving Homeowner data received through the Platform in accordance with Section 3.7.


8. Termination

8.1 Voluntary termination

You may cancel your subscription at any time, as described in Section 4.3. You will retain access to paid features until the end of your current billing period, after which your listing will revert to the Free tier. If you wish to have your listing removed entirely from the Platform, contact us at support@powerednz.com and we will remove it within a reasonable timeframe.

8.2 Termination by PoweredNZ

We may suspend or permanently remove your listing if we have reasonable grounds to believe that you have:

  • submitted fraudulent or materially false credentials;
  • repeatedly or seriously breached these Terms or the Code of Conduct;
  • failed to pay outstanding subscription fees after reasonable notice;
  • become the subject of legal or regulatory action relevant to your listing; or
  • engaged in conduct that, in our reasonable opinion, poses a risk to Homeowners or the integrity of the Platform.

8.3 Notice period

Except in cases involving fraud, illegality, or an immediate risk to Homeowners, we will provide you with at least 30 days' written notice before removing your listing. The notice will be sent to the email address associated with your account and will state the reason for the proposed action.

8.4 Appeal process

If your listing is suspended or removed, you may appeal the decision by contacting support@powerednz.com within 30 days of the notice. Your appeal should include any relevant information or evidence. We will review the appeal and notify you of the outcome within a reasonable timeframe. Our decision on appeal concludes the internal review process.

8.5 Effect of termination

Upon termination or removal of your listing:

  • your subscription (if any) will be cancelled and your tier will revert to Free, or your listing will be removed entirely, depending on the circumstances;
  • your credentials, listing content, and lead history will be retained for a reasonable period to satisfy our legal and record-keeping obligations, after which they will be deleted;
  • reviews associated with your listing will remain on the Platform as part of the public record, unless removal is required by law;
  • you must continue to comply with Sections 3 (Data and Lead Handling), 11 (Limitation of Liability), and 12 (Indemnification) in respect of any Leads already received and any obligations arising before termination.

8.6 Refunds on termination

Subscription fees are non-refundable (see Section 4.4). If we terminate your listing without cause (i.e., not for a breach of these Terms), you will retain access to paid features until the end of your current billing period. No refund or continued access is provided where termination is for a breach of these Terms.

8.7 Surviving clauses

Sections 3 (Data and Lead Handling), 5.3 (What verification means), 6.6 (Licence to display), 11 (Limitation of Liability), 12 (Indemnification), 13 (Intellectual Property), and 9 (Governing Law) survive the termination of these Terms for any reason.


9. Governing Law and Disputes

9.1 Governing law

These Terms are governed by, and construed in accordance with, the laws of New Zealand.

9.2 Jurisdiction

The courts of New Zealand have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

9.3 Dispute resolution

Before commencing court proceedings, the parties agree to attempt to resolve any dispute in good faith through mediation. If the dispute is not resolved within 30 days of written notice from one party to the other, either party may commence proceedings in the courts of New Zealand.

9.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed and the remaining provisions will continue in full force and effect.

9.5 Entire agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Review Policy, constitute the entire agreement between you and PoweredNZ in relation to your use of the Platform as an Installer. They supersede all prior agreements, representations, or understandings (whether written or oral) relating to the same subject matter.

11. Limitation of Liability

11.1 Directory service only

PoweredNZ is a directory and information service. We do not perform installations, guarantee the quality of any Installer's work, or endorse any particular Installer. We are not a party to any contract between you and a Homeowner.

11.2 Liability cap

To the maximum extent permitted by the Contract and Commercial Law Act 2017 (NZ), our total aggregate liability to you for any claims arising out of or in connection with these Terms or your use of the Platform is limited to the amount you have paid to PoweredNZ in subscription fees in the 12 months immediately preceding the event giving rise to the claim.

11.3 Exclusion of indirect loss

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, special, or exemplary damages, including (without limitation) loss of profits, loss of revenue, loss of business opportunities, loss of data, or damage to reputation, however caused and whether arising under contract, tort (including negligence), statute, or otherwise.

11.4 Availability

We do not warrant that the Platform will be available without interruption, that it will be error-free, or that defects will be corrected. We may suspend access to the Platform for scheduled or emergency maintenance at any time.


12. Indemnification

You agree to indemnify, defend, and hold harmless PoweredNZ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • your breach of these Terms;
  • any work you perform for a Homeowner sourced through the Platform;
  • any misrepresentation in your listing content or credentials;
  • any breach of the Privacy Act 2020 (NZ) relating to Homeowner data you received through the Platform; or
  • any breach of applicable New Zealand law in connection with your business activities.

13. Intellectual Property

13.1 Platform content

All intellectual property in the Platform — including its design, code, branding, logos, text, and compilation of data — is owned by or licensed to PoweredNZ. You may not reproduce, modify, or distribute any Platform content without our prior written consent.

13.2 Installer content

You retain ownership of the content you upload to your listing, including your business description, logos, and images. By uploading content to the Platform, you grant PoweredNZ a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute that content for the purpose of operating and promoting the Platform.

13.3 Review content

Reviews are owned by the Homeowners who post them. PoweredNZ holds a non-exclusive, perpetual licence to display review content on the Platform, as described in Section 6.6 and the Review Policy.


14. Force Majeure

Neither party is liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from circumstances beyond the affected party's reasonable control. This includes (without limitation) natural disasters, pandemics, government actions, power outages, internet disruptions, or failures of third-party services (including Stripe). The affected party must give the other prompt notice and use reasonable efforts to mitigate the impact.


15. Affiliate Disclosure and Paid Placements

PoweredNZ may receive a commission or referral fee from some installers listed on the Platform. Featured and Pro listings are paid placements. Paid placements are clearly marked as such in search results and do not constitute an endorsement, recommendation, or warranty of the Installer's services. The presence of a paid placement badge does not indicate that PoweredNZ has assessed the quality of the Installer's work or that the Installer is preferred over non-paying Installers for any reason other than their paid status.
